ESG due diligence for a defined business decision

Nitium supports business and investment teams across India reviewing ESG information before a transaction, partnership or internal decision. We review agreed documents and business practices, explaining what the evidence supports, what remains uncertain and what needs attention.

Discuss an ESG document review

When this support is useful

  • A data room contains policies and reports, but their coverage and relevance to the decision are unclear.

  • You need to distinguish an established issue from a missing record or an unverified management statement.

  • The decision timetable requires a short findings summary and a clear list of follow-up priorities.

What we do

  • Clarify the decision, intended users, entity and activity scope, period and exclusions.

  • Tailor the document request to the business context and agreed topics.

  • Review the supplied evidence and agreed management information, retaining source versions and coverage.

  • Separate supported findings from missing evidence, disputed statements and unperformed checks.

  • Prepare follow-up questions and next steps, identifying matters requiring appropriate specialist work.

What you receive

  • A findings summary for the stated decision and scope.

  • An evidence-based risk and gap register with the basis and limitations of each finding.

  • Follow-up questions for management or relevant record owners.

  • Recommended next steps and identified specialist dependencies; the review does not make the business decision.

What we need from your team

Share the review purpose, businesses and activities in scope, decision date, available documents and relevant management contacts. Agree authorised access to records and proportionate handling of restricted information. Management retains responsibility for the transaction or other business decision.

How the work proceeds

  • Clarify: name the decision and the people relying on the work.

  • Scope: agree topics, documents, management input, review method and exclusions.

  • Review: assess supplied evidence and record findings, gaps and follow-up questions.

  • Hand over: distinguish matters needing resolution before the decision from later improvement actions and separately required specialist work.

Example: an unsupported statement needs a precise finding

Hypothetical example, not a Nitium client or transaction. A company says all workers received safety induction. Supplied records cover direct employees at two sites; contractor records and a third site are absent. The finding identifies the coverage examined and the missing populations. It does not confirm training for everyone or conclude that workers in the unreviewed population were untrained. The next step is to obtain suitable evidence or agree further review.

Scope and responsibilities

The review is limited to the agreed purpose, information and procedures. It is not an exhaustive legal-compliance audit, environmental or engineering clearance, independent assurance conclusion or investment recommendation. Legal interpretation, environmental testing and other specialist technical assessments sit outside the offer. Missing documents and the absence of a known incident do not, by themselves, prove a breach or prove that no risk exists.

Frequently asked questions

Will this confirm that a business has no ESG risks?

No. Findings reflect the agreed scope, evidence and limitations. The handover identifies unresolved uncertainty rather than giving a blanket clearance.

Do you conduct technical site testing or legal review?

Those specialist activities are not part of the service described here. The review should identify when suitable legal, environmental, engineering or other specialist work is required.

What happens if documents are unavailable?

The finding records the missing evidence, affected scope and consequence for the stated decision. A missing file is not automatically treated as proof of non-compliance.

Can management interviews replace documents?

Management information may explain context, but its evidential limits need to remain clear. Agree the interview and corroboration scope rather than treating every statement as verified.

How is the scope fitted to our decision date?

Share the decision, entity/activity scope, available documents and deadline. Agree priorities, dependencies and which unresolved matters must be escalated before the decision.

What affects the scope and fee?

The proposed scope and fee depend on the decision being supported, the entities and sites covered, the topics and period under review, the volume and condition of available records, agreed management discussions, the timetable and the required deliverables. We agree these before work starts. Specialist legal, environmental or engineering work is outside this service and should be scoped separately.
